A coalition backed by Citadel Securities and Cboe initiated a lawsuit against the CFTC on Tuesday, November 3, seeking to invalidate stock perps just hours after the regulator greenlit them for US exchanges. This legal battle could ultimately determine whether Hyperliquid’s $5 billion-a-day market gains access to American traders.
Although the approval didn’t mention any offshore platform by name, it was clearly directed at one.

CFTC Chairman Michael Selig stated that US citizens should not be “forced to turn to offshore, and often unregulated, venues” to engage in perpetual futures trading on individual stocks.

The largest of those offshore platforms operates on Hyperliquid. Trade.xyz, its top builder market, generated $4.99 billion in volume over the preceding 24 hours spanning 142 contracts covering commodities, indexes, and equities, alongside $4.42 billion in open interest.

Six days prior, New York Stock Exchange parent ICE reached an agreement to introduce these markets to US participants via its own CFTC-regulated exchange. Following the announcement, HYPE surged as much as 21% to hit $97.74, coming within a hair’s breadth of its all-time high of $97.96.

The legal challenge failed to crash the asset. HYPE slipped to $81.01 early Wednesday before recovering to $85.93 by 08:00 UTC, marking a 24-hour gain of 2.8%.

This raises questions about the core of the lawsuit and its implications for perpetual decentralized exchanges (DEXs) like Hyperliquid.

Cboe and Citadel Suing to Block Stock Perps: What Is the Lawsuit About?

The central dispute concerns regulatory jurisdiction over single-stock perpetuals. The Capital Markets Alliance—counting Cboe, the Healthy Markets Association, and Citadel Securities among its members—filed the lawsuit in a Manhattan federal court, asserting that these instruments constitute security-based swaps under SEC authority and should remain barred from retail investors.

The association is petitioning the court to:

  • Vacate the CFTC’s clearance, which was granted without a formal vote pursuant to Regulation 40.3
  • Declare the offerings to be security-based swaps
  • Freeze trading activities while litigation proceeds

“This issue, however, is about investor protection for securities trading and the rule of law,” remarked Cboe CEO Craig Donohue.

In response, a CFTC spokesperson fired back: “Our markets should be governed by law, not litigation campaigns intended to block innovation.”

Four separate exchanges are currently awaiting the resolution. Kalshi initiated the queue on September 18, followed subsequently by Coinbase Derivatives, Bitnomial, and Crypto.com’s North American Derivatives Exchange. Meanwhile, CME Group remains locked in its own lawsuit against the CFTC over Kalshi’s Bitcoin perpetual, which was authorized back in May.

How Big Are Stock Perps on Hyperliquid?

Their scale is large enough to compete directly with the platform’s native crypto markets. Because Hyperliquid’s proprietary crypto perpetuals recorded $7.14 billion over the same 24-hour window, trade.xyz’s offerings accounted for roughly 41% of the entire network’s volume.

While oil and indexes take top spots, individual equities dominate the remainder of the roster:

  • S&P 500: $571 million, featuring up to 50x leverage
  • SK hynix: $375 million, surpassing any US equity
  • Nvidia: $257 million, offering up to 20x leverage
  • SanDisk and SpaceX: $247 million and $198 million respectively

Trade.xyz debuted in October 2025 as the inaugural market deployed on HIP-3, the Hyperliquid framework enabling third-party teams to launch custom contracts. It currently commands approximately 98% of all HIP-3 volume, reporting a cumulative trading volume of $650 billion.

The platform is tailored for international traders. Because Hyperliquid restricts US users on its primary interface, Selig aims to empower domestic exchanges to bridge that gap.

What Could the Lawsuit Mean for Hyperliquid?

The immediate impact on its current operations is minimal, though the long-term implications for domestic expansion are substantial. The litigation cannot directly affect trading activity occurring natively on Hyperliquid. Instead, the case will determine whether American exchanges can legally capture competing order flow and whether ICE can successfully bring trade.xyz onshore.

The two potential legal resolutions point toward diverging paths:

  • If the alliance prevails: single-stock perpetuals will be classified as SEC instruments and kept out of retail hands. This would prevent Kalshi and Coinbase from listing them while allowing offshore entities to retain the market share. Furthermore, ICE’s domestic venue would be stripped of its stock contracts—the very feature that differentiated its proposal—though currency, commodity, and crypto perps would remain permitted.
  • If the CFTC prevails: US exchanges gain the green light to list stock perpetuals, positioning Coinbase and Kalshi to capture the American customer base that Hyperliquid cannot legally service. ICE and trade.xyz could potentially join them, reflecting the optimistic scenario that drove last week’s HYPE price rally.

Neither outcome is imminent. ICE’s prospective exchange still requires independent CFTC clearance, and neither organization has announced a targeted debut timeline.

The initial major test will arrive sooner through the judicial decision on whether to implement an administrative freeze on the approvals while the lawsuit unfolds. Such a freeze would halt US exchange listings before Kalshi or Coinbase execute a single trade.

HYPE Price Analysis: Can It Get Back to $90?

HYPE has surrendered the majority of the gains achieved during last week’s ICE-driven surge. After touching $97.74 on October 29 and trending downward over subsequent days, the token changes hands at $85.93, sitting just above its 20-day exponential moving average (EMA) of $84.02.

The daily timeframe outlines a distinct trading corridor:

  • $89.99: the close from October 30, which has not been surpassed on a daily closing basis since
  • $97.74: the peak from October 29, situated just below the $97.96 all-time high
  • $81.01: the intraday trough from Wednesday where buyers emerged following the legal announcements
  • $74.45: the low recorded on October 24, marking the base preceding the ICE partnership announcement

Outlook Trigger Level to watch
Rebound A daily close above $89.99 $97.74, the October 29 high
Holding pattern HYPE stays between $81.01 and $89.99 Sideways until the court rules on the freeze
Sell-off A daily close below $81.01 $74.45, the October 24 low

For the time being, the conflict over stock perps centers entirely on distribution rights to American consumers. Meanwhile, Hyperliquid continues to process $5 billion daily in transactions for the rest of the global market.
